Abstract [eng] Forced Sale of Shares in Case Law: Material and Procedural Legal Aspects Legal regulation of the institute for the forced sale of shares has some incomplete points, and the existing case law thereof is still not systemic and developed. Therefore, the topic of the Final Master Thesis is relevant to both legal theory and practice, case law. The thesis was attempting to convey the most problematic practical aspects; therefore, it has been relied mostly on the analysis of the Lithuanian case law, slightly less on the normative and specialized literature. The first part of the thesis analyses the concept and purpose of the institute, and the differences thereof from the forced sale of the bank‘s shares. The second part investigates the most important material practical aspects: subjects able to bring a claim, persons having a prior right for the acquisition of the shares sold in forced manner, restrictions for the plaintiffs, actions of a member, contradicting the goals of legal person’s activities, part of shares being transferred. The third part explores the most significant practical procedural aspects: bringing a claim to a court, adoption of a ruling on the price, transfer the ownership right to the shares and payment of the price, restrictions and provisional safeguards for the share transfer.
