Abstract [eng] The relevance of the financial liability of the company’s manager is defined by the fact that the legal matters concerning the single–person managing body (company’s manager) of a private limited liability company – the most popular legal form of a company in the Republic of Lithuania – are barely analysed in theory, the court practice is not numerous, and the legal regulation is unsettled. Moreover, the relationship between a company and its manager and the liabilities of a manager are not clearly determined. In this work the legal acts are analysed, the analysis is based on the practice of the Supreme Court of Lithuania, the topic of the company’s manager and his/her financial liability is presented. The work is divided into several parts: the definition of the financial liability is presented in the first part, the legal relations between a manager and a company are defined in the second, and the peculiarities of the financial liability are analysed in the third part. In the end, the court practice is presented and certain conclusions are drawn. In this work the financial liabilities of a company’s manager are highlighted and a certain possible solution is offered: after amending the legal regulation, for the liabilities of a company’s manager to apply the legal norms regulating the civil law.
