The master's thesis examines in detail confidentiality agreements and the concept of confidential information, historical origin, effectiveness of current agreements, challenges and concerns associated with the protection of confidential information. An investigation shall be initiated by examining the generally accepted definition of confidential information. It stresses the need for a more unified understanding of the concept, as this could be useful for legal clarity and implementation. The study identifies a number of parameters that can help determine whether information should be considered confidential. Studying the historical origins of confidential information, the thesis shows that the modern understanding of trade secrets began to take shape in England. This underlines the long-standing importance of protecting sensitive information in the business world and is the basis for understanding modern confidentiality agreements. The study identifies a number of challenges and concerns related to confidentiality agreements, such as restrictions on expression and the freedom to choose a job. It stresses the importance of striking a balance between the protection of confidential information and the rights and freedoms of individuals. Clarifies liability for violations of confidentiality agreements, revealing that the consequences may include civil, disciplinary and material, and in some cases criminal liability. Finally, the final thesis compares the implementation of the EU directive on the protection of confidentiality treaties with that of the US, examining the similarity between the two legal systems. The study shows that international cooperation and convergence of standards in confidentiality agreements can be useful for harmonizing and improving global practices. This master's thesis provides insights into the intricacies of confidentiality agreements, from their conceptualization to practical application and challenges. By proposing improvements and emphasizing the importance of a balanced approach, the study contributes to the ongoing discourse on the protection of trade secrets and confidential information. |
