Based on the sources of legal literature, articles and explanations provided in the national case law, this master's thesis analyzes the civil liability of the company's manager in the event of bankruptcy. The head, as a special legal governing body, falls under the magnifying glass due to the nature of the fiduciary duties. The paper analyzes the concepts of company manager and civil liability, a lot of attention is paid to the issues of liability delimitation, starting from the problem of duality of liability to the delimitation of liability of legal entity entities and management bodies. The conditions for the occurrence of civil liability were examined episodically. The paper draws attention to the latest legal regulation, which includes the bankruptcy process. The last part of the paper deals with intentional bankruptcy and the grounds for non-application and exemption from civil liability. |
