Abstract [eng] The Master's thesis analyses the manifestation of the "Delaware" effect in corporate regulation in order to analyze first of all the essence of the effect itself, its components - the specific aspects that make up, create the "Delaware" effect as a phenomenon. The theories that make up the phenomenon, such as regulatory competition theory, race to the top and race to the top, are also analyzed in order to shed light on the phenomenon of the Delaware Effect in its various dimensions. A historical analysis of the development of corporate regulation in Delaware is provided to provide clarity on the roots of the Delaware Effect and what has been created in Delaware regulation that we are now talking about as a phenomenon. In order to maintain the relevance of the thesis, the following chapters of the thesis analyse the legal framework established by the European Union in comparison with the Delaware legal framework, namely in order to assess whether the "Delaware" effect is manifested in the European Union legal framework, what it looks like in reality, by comparing the specific legislation in force, and by identifying the similarities and differences. The last part of this Master's thesis analyses the company law regulation of the Republic of Lithuania, comparing it with the current company law regulation in Delaware, including other related aspects such as the tax and judicial systems. By examining the legal frameworks of both jurisdictions, the Master's thesis determines whether the "Delaware" effect manifests itself in the legal framework of the Republic of Lithuania, and points out similarities and differences.
